1. Acceptance of Terms

Your access to and use of SkillVault Academy (“Platform,” “Service,” “we,” “us,” “our”) is conditioned on your acceptance of and compliance with these Terms of Service (“Terms”). By accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you are accessing this Platform on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

SkillVault Academy provides online courses, educational content, and professional development materials (“Courses”). Our Platform allows users to:

• Enroll in and access course content
• Complete assessments and quizzes
• Earn certificates upon course completion
• Access lifetime course materials (where applicable)
• Participate in community features

We reserve the right to modify, suspend, or discontinue any service or feature at any time without liability.

3. User Accounts and Registration

3.1 Account Eligibility

You must be at least 18 years old to create an account. Users under 18 may only use the Platform with parental or guardian consent. We do not knowingly collect information from children under 13.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your username and password. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and maintain the accuracy of your account information. We reserve the right to suspend or terminate accounts with false or misleading information.

4. Acceptable Use Policy

4.1 Prohibited Conduct

You agree not to use the Platform for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Harass, threaten, defame, or abuse other users or staff
• Post or transmit hateful, discriminatory, or abusive content
• Share violent, obscene, or sexually explicit content
• Attempt to gain unauthorized access to the Platform or other systems
• Introduce viruses, malware, or harmful code
• Spam, phish, or engage in fraudulent activities
• Reverse engineer, decompile, or attempt to derive source code
• Scrape, crawl, or automatically download course content
• Share your login credentials with others
• Impersonate another person or entity
• Engage in commercial activities without authorization

4.2 Monitoring and Enforcement

We reserve the right to monitor user activity and content for compliance with these Terms. We may investigate and take appropriate legal action against users who violate these Terms.

5. Course Access and Enrollment

5.1 Enrollment

Enrollment in courses is subject to payment of applicable fees. By enrolling, you agree to pay all fees and charges associated with your courses, including applicable taxes and processing fees.

5.2 Access Terms

• Access is granted for educational purposes only
• You may not resell, share, or transfer course access
• You may not record or download course videos without permission
• Course content is for individual use only
• Lifetime access means access during the life of SkillVault Academy and your account

5.3 Suspension of Access

We reserve the right to suspend or terminate your access to courses if you violate these Terms, fail to comply with applicable laws, or engage in conduct harmful to the Platform or other users.

6. Intellectual Property Rights

6.1 Platform Content

All course materials, videos, text, graphics, logos, and other content on the Platform (“Content”) are the exclusive property of SkillVault Academy or our content providers. The Content is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and view the Content for educational purposes only. You may not reproduce, distribute, modify, or create derivative works based on the Content without explicit permission.

6.3 Third-Party Content

Some Content may be provided by third parties. We respect the intellectual property rights of these parties and ask that you do the same. Any unauthorized use of third-party content is prohibited.

6.4 Your Content

By posting, uploading, or submitting content to the Platform (comments, forum posts, etc.), you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute that content.

7. Payment and Billing

7.1 Course Fees

Course fees are stated at the time of enrollment. Prices are subject to change without notice for future purchases, but existing enrollments are not affected.

7.2 Payment Methods

We accept major credit cards and other payment methods as indicated at checkout. All payments are processed securely through third-party payment processors.

7.3 Billing

• You authorize us to charge the payment method you provide
• You are responsible for keeping your billing information current and accurate
• Billing disputes must be reported within 30 days
• All sales are final unless otherwise stated

7.4 Taxes

You are responsible for all applicable taxes. Where applicable, we will calculate and add taxes to your invoice based on your location.

8. Refund and Cancellation Policy

8.1 Refund Eligibility

• Refunds are available within 14 days of enrollment if you have completed less than 25% of the course
• No refunds are available for courses with 25% or more completion
• No refunds for bundle purchases after 14 days
• Certificates earned cannot be refunded once issued

8.2 Refund Process

To request a refund, contact us at support@skillvault.academy with your order details. Refunds will be issued to your original payment method within 5-7 business days.

8.3 Cancellation

You may cancel your enrollment at any time. Cancellation does not entitle you to a refund unless you meet the refund eligibility criteria above.

9. Limitation of Liability

9.1 Limitation of Damages

In no event shall SkillVault Academy be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, even if we have been advised of the possibility of such damages.

9.2 Maximum Liability

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid for the course in question in the 12 months preceding the claim.

9.3 No Guarantees

We do not guarantee that:

• You will achieve any specific outcome or career advancement from our courses
• Course certificates will be accepted by employers or educational institutions
• The Platform will be uninterrupted or error-free
• Any defects will be corrected

10. Indemnification

You agree to indemnify, defend, and hold harmless SkillVault Academy and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorney’s fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Your content or conduct on the Platform

11. Third-Party Links and Services

The Platform may contain links to third-party websites and services. We are not responsible for:

• The accuracy or completeness of third-party content
• Privacy practices of third-party sites
• Technical issues with external services
• Any harm resulting from use of third-party services

Your use of third-party services is subject to their terms and privacy policies.

12. Certificates and Credentials

12.1 Certificate Validity

Certificates issued by SkillVault Academy are proof of course completion only. We do not guarantee that employers, educational institutions, or other organizations will recognize or accept these certificates.

12.2 Certificate Revocation

We reserve the right to revoke certificates if we determine that:

• The course was completed through unauthorized means
• The certificate was obtained through fraud or cheating
• The user violated our Terms of Service
• The certificate was obtained in violation of applicable law

13. Account Termination

13.1 Termination by User

You may request account deletion at any time by contacting support@skillvault.academy. Upon deletion, you will lose access to all courses and cannot recover your account or data.

13.2 Termination by SkillVault Academy

We may terminate or suspend your account immediately and without notice if:

• You violate these Terms
• You engage in illegal activity
• You harass or abuse other users or staff
• We determine your account poses a security risk
• You fail to comply with applicable laws

13.3 Effect of Termination

Upon termination, your right to use the Platform terminates immediately. You will lose access to all courses and account data. Termination does not affect surviving provisions of these Terms.

14. Modification of Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after changes constitutes your acceptance of the modified Terms.

We encourage you to review these Terms periodically for updates.

15. Dispute Resolution

15.1 Informal Resolution

Before pursuing formal legal action, you agree to contact us at support@skillvault.academy to attempt informal resolution of any disputes.

15.2 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflicts of law principles.

15.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India for resolution of any disputes.

15.4 Arbitration

By using the Platform, you agree to resolve disputes through binding arbitration rather than court proceedings, except for claims of intellectual property infringement.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and SkillVault Academy regarding your use of the Platform and supersede all prior or contemporaneous agreements, understandings, and communications.
